STANDARD TERMS AND CONDITIONS OF SALE

       These terms and conditions outline the professional agreement between Orca and its clients regarding the sale of goods and services.

        1. Precedence and Validity

    • The client explicitly waives their own standard terms and conditions, even if those were established after this document.

    • Any exceptions or changes to these terms are only valid if they are expressly agreed to in writing and in advance.

  • 2. Payment Terms and Late Fees

    • Invoices must be paid within 21 working days, unless a different timeframe is specified on the invoice or order.

    • If a payment is not made by the due date, Orca reserves the right to charge a fixed interest payment of 10% on the remaining balance.

    • Orca is authorized to suspend all services without prior warning if payments are delayed.

  • 3. Debt Recovery

    • If a payment remains outstanding for more than 60 days past the due date, Orca reserves the right to engage a debt recovery company.

    • The client is responsible for paying all associated legal expenses.

  • 4. International Taxes and Withholding

    • The client is responsible for paying any withholding tax required by their local internal legislation to their respective tax authorities.

    • Orca will not be responsible for costs related to a specific country's legislation.

    • The full amount of the invoice is due to Orca, excluding any costs related to the client's local laws.

  • 5. Liability and Obligations

    • Orca commits to providing high-quality services within agreed timeframes.

    • None of Orca’s obligations shall be interpreted as an obligation to achieve specific results.

    • Orca cannot be held liable as a third party in any damage claims filed against the client by an end consumer.

  • 6. Claims and Notifications

    • Any claims against Orca must be submitted via recorded delivery to its registered office to be considered admissible.

    • Notifications must be sent within 8 days of the delivery of goods or the completion of services.

  • 7. Governing Law

  • All contractual relations and legal matters are governed exclusively by the laws of Egypt
